Terms of Service

These Terms of Service ("Terms") govern your access to and use of SEODex (the "Service"), operated by Holiander, Inc. ("we", "us", or "our"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Account & eligibility

You must be at least 18 years old and able to form a binding contract. You're responsible for everything that happens under your account, including for any users you invite. Keep your credentials confidential and notify us immediately at support@seodex.com if you suspect unauthorized access.

2. The Service

SEODex generates sales-preparation dossiers about prospects you specify, drawing on publicly available SEO, business listing, and web data plus AI-generated analysis. The Service is intended for legitimate sales and business-development purposes by professionals.

The Service is provided on an "as is" basis. Output is for informational and pitch-preparation purposes only. We do not warrant that data is accurate, complete, current, or fit for any particular use.

3. Plans, billing & trials

Paid plans are billed monthly or annually in advance through our payment processor (Stripe). Pricing for each plan is shown on our pricing page. By subscribing you authorize recurring charges to the payment method on file until you cancel.

Free trials, when offered, do not require a payment method and convert to a paid plan only if you actively choose to subscribe. Trial duration and limits are described at signup and may change.

You can cancel anytime from your account settings. Cancellations take effect at the end of the current billing period; the Service remains available until then. Fees already paid are non-refundable except where required by law or at our sole discretion.

We may change pricing with at least 30 days' notice. Continued use after a price change means you accept the new pricing.

4. Acceptable use

You agree not to:

• Use the Service for spam, harassment, defamation, or any illegal purpose;
• Violate applicable outreach laws when contacting prospects identified through the Service, including CAN-SPAM, TCPA, GDPR, CASL, and equivalent regulations;
• Reverse-engineer, scrape, or attempt to extract source data from the Service except as expressly permitted;
• Resell, sublicense, or white-label the Service without a written agreement permitting it;
• Submit requests intended to overload the Service or interfere with other users;
• Upload prospect data you have no legitimate basis to process;
• Misuse output to make defamatory, fraudulent, or deceptive claims about a business.

We may suspend or terminate accounts that violate these rules, with or without notice.

5. Your content & data

You retain ownership of all data you submit to the Service ("Your Content"). You grant us a limited license to host, process, and display Your Content as needed to operate the Service for you.

We do not sell Your Content. We use third-party processors (described in our Privacy Policy) to deliver the Service. Output we generate from Your Content is yours to use commercially within your sales activities.

6. Intellectual property

The Service, including its software, design, and brand, is owned by Holiander, Inc. and protected by intellectual-property laws. We grant you a non-exclusive, non-transferable license to use the Service in accordance with these Terms. No other rights are granted.

7. Third-party data & services

The Service incorporates data from third-party sources (e.g., search engines, business listing providers, large-language-model APIs). Their data is provided under their terms; we cannot warrant its accuracy or availability. If a third-party service is interrupted or changes its terms, the corresponding feature may degrade or be removed without notice.

8. AI-generated content

Some Service output is generated by large-language models. AI output can be inaccurate, biased, or outdated. You are solely responsible for reviewing AI-generated content before relying on it or using it in client-facing materials.

9. Termination

You may terminate your account at any time. We may terminate or suspend your access immediately for material breach of these Terms, suspected fraud or security risk, or where required by law. Upon termination your right to use the Service ends; provisions that by nature should survive (intellectual property, disclaimers, limitations of liability, indemnification, governing law) will survive.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OR THAT DEFECTS WILL BE CORRECTED.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOLIANDER, INC. AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to defend, indemnify, and hold harmless Holiander, Inc. from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes we'll notify you by email or in-product notice at least 14 days before they take effect. Continued use of the Service after changes take effect means you accept the updated Terms.

14. Governing law & disputes

These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in that jurisdiction, and you consent to personal jurisdiction there.
