1. Service Description

SEODEX is a subscription-based SEO software platform that provides:

• Keyword ranking tracking
• Page optimization analysis and recommendations
• Keyword research tools
• Technical site audits
• AI-powered SEO assistance
• Google Business Profile insights

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

2. Account Registration and Security

2.1 Account Creation

To use SEODEX, you must:

• Be at least 18 years old
• Provide accurate and complete information
• Have the legal authority to enter into this agreement
• Maintain only one account

2.2 Account Security

You are responsible for:

• Maintaining the security of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3. Subscription and Payment Terms

3.1 Pricing

SEODEX is offered at $29/month. Pricing is subject to change with 30 days' notice to existing subscribers.

3.2 Free Trial

New users receive a 7-day free trial. A valid payment method is required at signup. If you don't cancel before the trial ends, you will be charged $29 for your first month.

3.3 Billing

• Subscriptions are billed monthly in advance
• Payments are processed through Stripe
• If payment fails, your account may be suspended until payment is received
• All fees are non-refundable except as required by law

3.4 Cancellation

You may cancel your subscription at any time from your account settings. Cancellations take effect at the end of your current billing period. You will retain access until then. No partial refunds are provided for unused time.

4. Acceptable Use Policy

4.1 Permitted Use

SEODEX is intended for legitimate SEO and business purposes only.

4.2 Prohibited Activities

You may not:

• Share your account credentials with others
• Use SEODEX for any illegal purpose
• Attempt to reverse engineer, hack, or compromise our systems
• Use automated tools to scrape or collect data from SEODEX
• Resell or redistribute SEODEX services
• Upload malware, viruses, or malicious code
• Abuse our support system or staff
• Create multiple accounts to abuse free trials

4.3 Enforcement

We reserve the right to suspend or terminate accounts that violate these terms without refund.

5. Service Limits and Restrictions

SEODEX subscriptions include:

• Up to 30 keywords tracked
• Up to 15 pages analyzed
• On-demand ranking updates (refresh every 7 days)
• Unlimited keyword research
• AI SEO Coach with generous usage limits

We reserve the right to enforce fair use policies to prevent abuse of unlimited features.

6. Intellectual Property

6.1 Our Property

SEODEX, including all software, designs, text, graphics, and logos, is owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of SEODEX without our written permission.

6.2 Your Data

You retain ownership of any data you submit to SEODEX (your website URL, keywords, etc.). By using our service, you grant us a limited license to use your data solely to provide our services.

7. Disclaimers and No Warranties

SEODEX IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We do not guarantee:

• That SEODEX will meet your specific requirements
• That SEODEX will be uninterrupted, secure, or error-free
• That results or data will be accurate or reliable
• That your search engine rankings will improve
• Any specific results from using our service

SEO is inherently unpredictable and influenced by many factors beyond our control. We provide tools and recommendations, but cannot guarantee specific outcomes.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any indirect, incidental, special, or consequential damages
• We are not liable for loss of profits, revenue, data, or business opportunities
• Our total liability is limited to the amount you paid us in the 12 months before the claim

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless SEODEX from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use or misuse of SEODEX
• Your violation of these Terms
• Your violation of any third-party rights

10. Termination

10.1 By You

You may terminate your account at any time by canceling your subscription.

10.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or abusive behavior

Upon termination, you will lose access to your account and all associated data.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes by email or by posting a notice on our website. Your continued use of SEODEX after changes means you accept the updated Terms.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

12.2 Informal Resolution

If you have a dispute with us, please contact us first at support@seodex.com to attempt to resolve it informally.

12.3 Jurisdiction

Any legal action must be brought in the state or federal courts located in California, and you consent to the jurisdiction of these courts.

13. General Provisions

13.1 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and SEODEX.

13.2 Severability

If any provision is found to be unenforceable, the remaining provisions will remain in effect.

13.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
